Join the NACD Atlanta Chapter and your director colleagues as activist-nominated director James Boone moderates a mock proxy contest featuring two top activism defense attorneys from the New York office of Vinson & Elkins - which The Wall Street Journal ranks as the number one law firm for activism defense based on the number of matters in which they advised either an activist investor or a company targeted by one.  

You’ll learn the strategies directors of a target company should consider. You'll also leave understanding the process and strategies of an activist, and the steps they take to place directors on the board of a target company.

Speaker Spotlight

 

James E. Boone

Jim currently serves on the board of Volt Information Sciences Inc. (NYSE MKT: VISI); the board of the National Association of Corporate Directors (NACD) Atlanta Chapter; and the board of advisors of the University of Louisville College of Business and Public Administration. He has previously served on the boards of Pearson Partners International LLC, the Technology Association of Georgia, Henry W. Grady Health System Foundation and the Atlanta Botanical Garden. He has been featured in numerous national print and broadcast media. At Volt Information Sciences, Inc., a $1.5+ billion company offering specialized talent and technology solutions through 12 independent business units, Jim was a divisional CEO, and Advisor to the founding family CEO. Previously, Jim spent many years as a senior executive search consultant, and held numerous management positions in firms that included Heidrick & Struggles and Korn Ferry International.

Kai Haakon E. Liekefett

Kai is the Head of V&E's Shareholder Activism Response Team and a corporate partner with 15 years of experience practicing law in New York, Houston, London, Germany, Hong Kong and Tokyo. He has extensive experience advising companies on proxy contests and other shareholder activism campaigns. Moreover, Kai represents domestic and international companies as well as financial advisors in connection with public and private mergers & acquisitions, with a special focus on hostile M&A transactions.

Lawrence S. Elbaum

Lawrence is a litigator and business advisor with over a decade of experience defending public and private companies in complex securities and commercial litigation and regulatory investigations in state and federal courts and administrative and alternative dispute resolution proceedings throughout the United States. As one of the leaders of V&E's Shareholder Activism Response Team and its chief litigator, he leverages these experiences to counsel senior management and boards of public companies with respect to proxy contests and other shareholder activism campaigns, corporate governance matters, and strategic investor relations.
