Brenda J. Gaines was formerly president and chief executive officer of Diners Club America, a division of Citigroup, until her retirement in 2004. Her responsibilities included leading activities for the North American franchise of the $29 billion Diners Club International network. From 1988 until her appointment as president in 1999, she held various positions within Diners Club North America, Citigroup and Citigroup's predecessor corporations. She also served as deputy chief of staff for the mayor of the city of Chicago from 1985 to 1987 and as Chicago commissioner of housing from 1983 to 1985.
Ms. Gaines has more than 25 years of experience working in the corporate and government arenas and has substantial training in corporate governance having served as a speaker and panel member in various RiskMetrics certified courses, including those with a focus on audit committees.
Ms. Gaines currently serves on the board of directors for Tenet Healthcare Corporation and the National Association of Corporate Directors.
Ms. Gaines has been a director of Southern Company Gas (formerly AGL Resources) since December 2011. She was a director of Nicor Inc. from 2006 to 2011.
Rochelle is an accomplished leader heading up NACD’s Board Recruitment Services search practice. Having been with NACD’s recruitment practice for years, she has worked on numerous engagements, successfully placing directors in companies ranging from F100 to privately owned, and nonprofits. In addition, Rochelle is a columnist for NACD Directorship magazine writing on an array of board recruiting and placement topics.
Rochelle also works hands-on with more than 270 military flag and general officers helping them to successfully transition their military experience into the private sector. Previously with NACD, she advised a portfolio of boards, heavily fortune 1000, on governance and best practices.
Rochelle currently serves as Chair of the Communications Committee and director of Child Steps International, a nonprofit working to empower child and communities through innovative solutions. She has spent her free time volunteering for a multitude of other nonprofit organizations.
